How much of an upgrade will this be?

Definitely a great upgrade. AMD Phenom II X4 965 Black Edition performs close to a Intel i7 920 & 965. Only thing it draws more power at full load compared to i7 920 & 965. Make sure you have good 600wt with two 75W 6-pin PSU.
